Terms of Service

Welcome to Reconci AI. By accessing or using our service, you agree to be bound by these Terms of Service (“Terms”). Please read them carefully.

1. Acceptance of Terms

By creating an account or using any part of the Reconci AI platform, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the service.

2. Description of Service

Reconci AI provides AI-powered bookkeeping automation that connects to QuickBooks Online via OAuth, categorizes transactions, tracks receipts, and sends follow-up communications on your behalf. The service is provided “as is” and may change over time.

3. Account Registration

You must provide accurate information when creating an account. You are responsible for maintaining the security of your credentials and for all activity under your account. Notify us immediately of any unauthorized access.

4. QuickBooks Integration

Reconci AI connects to QuickBooks Online using Intuit's OAuth 2.0 authorization flow. By connecting your QuickBooks account, you authorize Reconci AI to:

• Read your Chart of Accounts, transactions, bills, and invoices.
• Write approved category changes back to your QuickBooks realm.
• Create and delete accounting entries as part of the payment-matching workflow.

You can revoke this authorization at any time from your Intuit developer console. Revoking access will prevent further sync operations but will not delete data already stored in Reconci AI.

5. Acceptable Use

You agree not to:

• Use the service for any unlawful purpose or in violation of any regulations.
• Attempt to reverse-engineer, disassemble, or exploit the platform.
• Introduce malware, viruses, or other harmful code.
• Use automated means to access the service in a way that disrupts its operation.
• Share your account credentials with unauthorized parties.

6. Intellectual Property

All content, code, and branding within Reconci AI is owned by or licensed to us. Your financial data remains your property. We do not claim ownership of any data you import from QuickBooks or upload to the platform.

7. Data and Privacy

Your use of Reconci AI is also governed by our Privacy Policy, which is incorporated into these Terms by reference. We encrypt all sensitive data (including OAuth tokens) at rest and in transit.

8. Disclaimer of Warranties

The service is provided “as is” without warranty of any kind. We do not warrant that the AI categorization will be error-free, that the service will be uninterrupted, or that results will meet your specific accounting requirements. You are responsible for reviewing all AI suggestions before they are applied.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Reconci AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the service, including but not limited to errors in AI-generated categorizations or loss of QuickBooks data.

10. Indemnification

You agree to indemnify and hold harmless Reconci AI and its affiliates from any claims, damages, or expenses arising from your use of the service or violation of these Terms.

11. Termination

We reserve the right to suspend or terminate your account at any time for violation of these Terms. You may delete your account at any time. Upon termination, your data will be retained for 30 days then permanently deleted unless required by law.

12. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or via an in-app notice. Continued use of the service after changes constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by the laws of the jurisdiction in which Reconci AI operates, without regard to conflict of law principles.
